Terms of Service

1. Contracting Party

These Terms of Service form a contract between you and:

  • Quieta SAS, a French Société par actions simplifiée

  • Represented by its legal representative (the President)

Referred to below as "Quieta", "we" or "us".

2. Acceptance of Terms

By downloading, installing, or using Quieta, you agree to be bound by these Terms of Service. If you do not accept these terms, please do not use our software.

3. Service Description

Quieta is a desktop application that:

  • Automatically detects personal or confidential data in your clipboard
  • Anonymizes this data in real-time before it is pasted into a third-party application
  • Operates entirely locally on your device
  • Does not transmit your clipboard content to our servers or any third party

4. Data Processing

4.1 Local Processing

All anonymization operations are performed locally on your device. Quieta does not send, store, or transmit your clipboard data to any external server.

4.2 No Data Collection

We do not collect personal data, usage statistics, or telemetry from the software itself. Data related to your subscription is handled as described in our Privacy Policy.

4.3 User Responsibility

While Quieta detects and anonymizes many types of sensitive data, it remains your responsibility to verify content before sharing it with third-party services.

5. Licence to Use

Quieta SAS grants you a personal, non-exclusive, non-transferable, and revocable licence to use the software in accordance with these terms.

5.1 Permitted Use

  • Personal and professional use
  • Installation on multiple devices you own or control, within the limits of your subscription plan
  • Use in your professional activities

5.2 Prohibited Use

  • Modification, decompilation, or reverse engineering of the software, except as permitted by mandatory law
  • Distribution, resale, or sublicensing of the software
  • Use for illegal or fraudulent purposes
  • Circumvention of security or licensing mechanisms

6. Payments, Subscriptions and Merchant of Record

6.1 Plans

Quieta offers a free plan and paid subscription plans. Prices, features and limits are described on our pricing page.

6.2 Merchant of Record

Paid subscriptions are sold and invoiced by Paddle.com Market Ltd ("Paddle"), acting as our authorized reseller and Merchant of Record. Paddle handles the payment transaction, issues the invoice, and is responsible for collecting and remitting applicable VAT, GST, or US sales tax. Paddle's Buyer Terms apply in addition to these Terms.

6.3 Trial and Renewal

Paid subscriptions include a 30-day free trial. Subscriptions renew automatically at the end of each billing period and can be cancelled at any time from your account, with effect at the end of the current period.

7. Consumer Rights — by jurisdiction

Nothing in these Terms limits the mandatory consumer rights granted to you by the law of your country of residence. The following sections describe the main rights, without prejudice to any other applicable law.

7.1 European Union / EEA consumers

Under articles L.221-18 and following of the French Consumer Code (transposing EU Directive 2011/83/EU), you have a 14-day right of withdrawal from the date of your first purchase. Because Quieta delivers digital content and an online service immediately, if you expressly request immediate performance and acknowledge losing your right of withdrawal once performance has begun, the withdrawal right ends when the service is fully performed. You keep your right to a conforming product under the French Civil Code (legal warranty of conformity and against hidden defects).

7.2 United Kingdom consumers

Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you also have a 14-day cancellation right, subject to the same digital-content carve-out. In addition, the UK Consumer Rights Act 2015 gives you statutory rights to software that is of satisfactory quality, fit for purpose, as described, and supplied with reasonable care and skill. Nothing in these Terms excludes or limits those statutory rights.

7.3 United States consumers

US federal and most state laws do not provide a statutory "cooling-off" right for online purchases of digital services. However:

  • We voluntarily offer a 30-day money-back guarantee on your first paid purchase (see the Refund Policy).
  • California residents have additional consumer protections under California Civil Code § 1789 and related statutes; nothing in these Terms waives those rights.
  • Nothing in these Terms limits any non-waivable rights you may have under state consumer protection laws.

7.4 Other jurisdictions

If you are a consumer elsewhere, you keep all mandatory consumer rights that apply to you. These Terms do not override them.

8. Warranties and Liability

8.1 "As Is" Provision

Subject to the mandatory consumer rights described in section 7, Quieta is provided "as is" and "as available" without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the software will be error-free or operate without interruption.

8.2 Limitation of Liability

To the fullest extent permitted by law, Quieta SAS and its directors, employees and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, business, or goodwill, arising from the use or inability to use Quieta. Our aggregate liability for any claim arising out of or relating to these Terms or the software shall not exceed the amount you paid to Paddle for the subscription in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law (including fraud, wilful misconduct, gross negligence, death or personal injury caused by our negligence, or any non-waivable consumer rights).

8.3 Indemnification

You agree to indemnify and hold harmless Quieta SAS from any third-party claim arising from your unlawful use of the software.

9. Updates and Modifications

We may:

  • Update the software to fix bugs or add features
  • Modify these terms (material changes will be announced through the application or our website at least 30 days in advance, and paid subscribers may terminate before the changes take effect)
  • Suspend or discontinue the service, with reasonable notice

10. Termination

You may stop using Quieta at any time by uninstalling the software and cancelling your subscription. We may suspend or terminate your licence in case of material breach of these Terms, with prior notice unless prohibited by law.

11. Intellectual Property

Quieta and all its components (code, design, logo, trademarks) are the property of Quieta SAS and are protected by French and international intellectual property laws, including US copyright law and EU/UK copyright law. All rights not expressly granted are reserved.

12. Export Control and Sanctions

You may not use Quieta in, or export it to, any jurisdiction subject to a comprehensive EU, UK or US embargo, and you warrant that you are not listed on any EU, UK or US restricted-party list.

13. Governing Law and Jurisdiction

These Terms are governed by French law. Any dispute shall be subject to the competent French courts.

If you are a consumer, you may also bring proceedings before the courts of your country of residence, and any mandatory consumer protection law of your country continues to apply regardless of the choice of French law above.

EU consumers may use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
